Launches Integrated Manufacturing Execution
System: ERP XA MES Suite

nfor introduces Infor ERP XA MES Suite, a
manufacturing execution system (MES) for System
i and other platforms that provides
enterprise-wide access to realtime manufacturing
information. ERP XA MES Suite, it is an
integrated software solution that provides
manufacturers with greater shop floor control,
seamless collaboration, and increased
traceability of the manufacturing process,
according to Infor. The new solution provides a
link between upper level ERP and MRP
(manufacturing resource planning) and the shop
floor control systems to control inbound and
outbound supply-chain logistics.
The suite consists of three modules.
Infor ERP XA Lean Execution and Planning, a next
generation of MES tools that support “lean”
manufacturing initiatives on the shop floor and
meet labortracking and quality reporting
requirements.
Infor ERP XA Manufacturing Data Collection &
Communication, a realtime shop floor
communications system providing timely and
accurate feedback to and from the shop floor.
Infor ERP XA Quality Management, a software
solution that streamlines quality process
procedures and data collection, decreasing the
cost of compliance and improving overall product
quality.
The combination integrates with Infor’s ERP XA
enterprise resource planning suite and is
designed to give users realtime production
reporting, shorter manufacturing cycle times,
faster inventory turnover, more on-time
deliveries, a higher quality end product, and
enhanced cash flow. The suite also provides
timely and accurate production and quality
information to support business decisionmaking
from order entry to final delivery of finished
goods.

Combined Company Creates Third Largest
Global Enterprise Software Provider

SSA Global™ (NASDAQ: SSAG), a leading global
provider of extended enterprise solutions
and services, today announced the signing of
a definitive agreement under which Infor,
one of the largest global enterprise
software providers focused on developing
solutions for the manufacturing and
distribution industries, will acquire SSA
Global.
Under the terms of the agreement, Infor has
agreed to pay $19.50 per share in cash to
SSA Global’s shareholders. The agreement was
approved by SSA Global’s Special Committee
of independent directors, as well as the
Board of Directors. The parties anticipate
closing the transaction in the third
calendar quarter of 2006. The closing is
subject to certain customary conditions,
including receipt of regulatory approvals
and SSA Global shareholder approval. Certain
shareholders representing approximately 84%
of SSA Global’s outstanding shares have
entered into voting agreements to support
the merger.
“With this acquisition, Infor will become
the third largest enterprise software
provider in the industry with approximately
$1.6 billion in revenue,” said Jim Schaper,
Infor’s chairman and CEO. “Infor has become
a significant force in the industry by
assembling and innovating market-specific,
best-in-class enterprise software solutions,
which provides customers with a flexible
choice in the market.”

The Special committee of independent
directors was advised by Mayer, Brown, Rowe
& Maw LLP and received a fairness opinion
from Houlihan, Lokey, Howard & Zukin. SSA
Global was advised by Schulte Roth and Zabel
LLP and J.P. Morgan Securities Inc.
Infor was advised by Kirkland & Ellis LLP.
Financing for the acquisition will be
arranged by J.P. Morgan Securities Inc. and
Credit Suisse (USA) LLC and is expected to
include a combination of senior secured
first-lien credit facilities and second-lien
debt denominated in both US dollars and
Euros.

Infor today announced its inclusion on the
Software 500, Software Magazine’s list of the
world’s foremost software and services
providers, published as an online catalog on
www.Softwaremag.com. Infor, ranked
#111 out of 500 technologies companies,
purchased MAPICS (#164) in April 2005.
With combined revenues of $498.1m, Infor would
be listed as #91 or in the top 20%.

INFOR acquires MAPICS and is nowthe largest
enterprise software provider exclusively focused

Infor, the largest global software provider to

enterprise applications to select verticals in
the manufacturing and distribution industries,
today announced it has acquired MAPICS after
receiving regulatory approvals and satisfying
the closing conditions of the transaction,
originally announced in January.
With the
completion of the acquisition, MAPICS is 100%
owned by Infor which has been and remains a
private company. The MAPICS acquisition was
financed through a combination of additional
equity from Golden Gate Capital and Summit
Partners, cash from the Infor Balance Sheet and
additional debt underwritten by Lehman Brothers.

world-class solutions and experienced
